2. SERVICES DESCRIPTION

NextGen AI Studio provides AI-powered media creation, including UGC ads, product video generation, 3D commercial rendering, and custom AI brand assets. We deliver high-fidelity outputs based on inputs, brand directives, and guidelines provided by you. We reserve the right to modify or discontinue any part of the service at our sole discretion.

3. INTELLECTUAL PROPERTY & OWNERSHIP

We believe in complete transparency regarding creative ownership:

• Client Materials: You retain all ownership, copyrights, and intellectual property rights in the assets, logos, and materials you upload or provide to us.
• Generated Deliverables: Upon receipt of full payment for a campaign or project, you receive complete ownership and commercial rights to the final video/creative files delivered to you.
• Underlying Technology: NextGen AI Studio retains all proprietary rights, ownership, and licenses to our underlying custom AI workflows, proprietary styles, codebases, models, and systems.

4. PAYMENT & INVOICING

All prices and fees are specified in your service proposal or subscription invoice. You agree to provide accurate billing details and to pay all fees in accordance with the specified payment schedule. Late payments may result in the suspension of deliverables or service access.

5. PROHIBITED CONTENT & CONDUCT

You agree not to submit any client materials that:

• Infringe on third-party copyrights, trademarks, or publicity rights.
• Depict non-consensual deepfakes, harassment, hate speech, or explicit/harmful content.
• Violate local, national, or international laws.

6. DISCLAIMER & LIMITATION OF LIABILITY

Our services are provided on an "as is" and "as available" basis. NextGen AI Studio does not guarantee that deliverables will achieve specific marketing outcomes, click-through rates, ROAS targets, or conversion gains. We are not liable for any indirect, incidental, or consequential damages resulting from your use of the deliverables.
